1. Acceptance of Terms. By accessing or using kopiustech.com (the “Site”), you agree to be bound by these Terms & Conditions and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not access or use the Site.

2. Use of the Site. The Site and its content are provided for informational purposes related to Kopius Tech’s services. You agree not to use the Site for any unlawful purpose or in any way that could damage, disable, or impair the Site.

3. Intellectual Property. All content on the Site, including text, graphics, logos, and software, is the property of Kopius Tech or its licensors. You may not reproduce, distribute, or create derivative works without prior written permission.

4. SMS Communications. If you receive SMS communications from Kopius Tech, message and data rates may apply. Message frequency varies. Reply STOP to unsubscribe or HELP for assistance. See our Privacy Policy for details on how information collected via SMS is handled.

5. Consent to Communications, Monitoring, and Session Analytics. When you use the Site, including when you browse pages, complete or submit a form, use any chat or messaging feature, or otherwise interact with the Site you acknowledge and expressly consent that Kopius Tech and its service providers acting on our behalf may collect, record, monitor, store, and analyze your interactions and communications with the Site. This may include page views, navigational paths, clicks, form entries you submit, device and browser information, IP address, approximate location, and the content of messages you send through the Site’s contact, application, or chat features. We and our service providers use this information to operate, secure, maintain, and improve the Site and our services, to respond to your inquiries and applications, and for analytics and fraud-prevention purposes, as further described in our Privacy Policy. You consent to this collection, recording, monitoring, and analysis, and to the involvement of our third-party service providers in it, at the time you access or interact with the Site. If you do not consent, do not access, use, or submit information through the Site. This consent is given knowingly and voluntarily and applies each time you use the Site.

6. Disclaimer. The Site and its content are provided “as is” without warranty of any kind. Kopius Tech disclaims all warranties, express or implied, to the fullest extent permitted by law.

7. Limitation of Liability. To the maximum extent permitted by law, Kopius Tech shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or in connection with your use of the Site.

8. Binding Arbitration and Class-Action Waiver.

(a) Agreement to Arbitrate. You and Kopius Tech agree that any dispute, claim, or controversy arising out of or relating to the Site, these Terms, our Privacy Policy, or your use of or interaction with the Site, including their existence, breach, termination, enforcement, interpretation, or validity, and including claims under the California Invasion of Privacy Act or any similar federal or state privacy, wiretapping, or electronic-communications law, shall be resolved exclusively by final and binding individual arbitration, and not in a court of law, except as provided in subsection (d).

(b) Arbitration Rules and Forum. The arbitration shall be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect. The arbitration shall be conducted by a single arbitrator, seated in King County, Washington, or, at your election, in the county of your residence, and may proceed by telephone, videoconference, or on written submissions where the AAA rules permit. The arbitrator’s award may be entered as a judgment in any court of competent jurisdiction.

(c) Class-Action, Collective-Action, and Jury-Trial Waiver. You and Kopius Tech agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of class or representative proceeding. You and Kopius Tech waive any right to a trial by jury and any right to participate in a class or representative action. If this class-action waiver is found unenforceable as to a particular claim or remedy, then that claim or remedy (and only that claim or remedy) shall be severed and heard in a court of competent jurisdiction, while all other claims proceed in arbitration.

(d) Exceptions. Either party may (i) bring an individual claim in small-claims court if it qualifies, and (ii) seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property or confidential information.

(e) Right to Opt Out. You may opt out of this arbitration agreement within 30 days after you first accept these Terms by sending written notice to legal@kopiustech.com stating your name and your intent to opt out of arbitration. If you opt out, the remaining provisions of these Terms continue to apply, and disputes will be resolved in the courts identified in the Governing Law section.

(f) Survival. This Section survives termination of these Terms and your use of the Site.

9. Governing Law and Venue. These Terms, and any dispute arising out of or relating to them or the Site, are governed by the laws of the State of Washington and, where applicable, the Federal Arbitration Act, without regard to conflict-of-laws principles. Subject to the Binding Arbitration section above, the exclusive venue for any dispute not subject to arbitration shall be the state and federal courts located in King County, Washington, and you consent to personal jurisdiction there.

10. Changes. Kopius Tech may update these Terms at any time. The date these Terms were last revised is identified at the top of this page. Continued use of the Site after changes constitutes acceptance of the revised Terms. If we make material changes, we may notify you by prominently posting a notice on the Site.
